These Terms of Service ("Terms") are a legal agreement between you (or the organisation you represent) and Goby ("Goby", "we", "us", or "our") governing your access to and use of the Goby test case management platform, including our website, applications, and related services (collectively, the "Service").
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
1. Eligibility and Accounts
You must be at least 16 years of age to use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
You are responsible for:
- Providing accurate and complete registration information and keeping it up to date
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account, whether or not authorised by you
- Notifying us immediately at support@goby.app if you suspect unauthorised access
You may not share your account credentials or create accounts on behalf of others without their knowledge. We reserve the right to suspend accounts that appear to be shared or compromised.
2. The Service
Goby is a test case management platform that helps software teams create, organise, and execute test plans. The Service includes features for managing test cases, building test plans, running test executions, tracking results, managing requirements traceability, and AI-assisted test case generation.
The Service is currently in an early access phase. Features, interfaces, and functionality may change frequently. We appreciate your feedback during this period and will work to give reasonable notice before removing features that users rely on.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates applicable local, national, or international law or regulation
- Upload, transmit, or store content that is unlawful, harmful, defamatory, obscene, or infringes any third-party rights
- Attempt to gain unauthorised access to any part of the Service, its infrastructure, or other users' accounts
- Probe, scan, or test the vulnerability of the Service without our prior written consent
- Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Service
- Use automated scripts, bots, or crawlers to access or interact with the Service without our written permission
- Overburden or disrupt the integrity or performance of the Service or its infrastructure
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use the Service to store or transmit malicious code, viruses, or other harmful software
- Resell, sublicense, or otherwise commercially exploit access to the Service without our prior written consent
- Remove, alter, or obscure any proprietary notices within the Service

5. AI-Assisted Features
Goby includes features powered by artificial intelligence, including AI-generated test case suggestions. These features are provided as tools to assist you and are not a substitute for professional judgement.
- AI-generated content may be inaccurate, incomplete, or inappropriate for your use case
- You are solely responsible for reviewing, validating, and approving any AI-generated output before relying on it
- We make no guarantee about the quality, accuracy, or fitness for purpose of AI suggestions
- Content you submit to AI features may be processed by third-party AI providers under our agreements with them
6. Teams, Organisations, and Permissions
Goby supports multi-user team workspaces. Team administrators can invite members, assign roles (such as admin, member, or viewer), and manage project access.
- Team administrators are responsible for managing member access and ensuring invited users comply with these Terms
- If you are an organisation administrator, you are responsible for the use of the Service by your team members
- We are not liable for actions taken by team members under your workspace
- If your account is associated with an organisation and that organisation's subscription ends, your access may be affected
7. Intellectual Property
The Service, including its design, interface, code, branding, trademarks, logos, documentation, and all content provided by Goby (excluding Your Content), is owned by or licensed to Goby and protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms grants you any right to use Goby's name, logo, trademarks, or other proprietary materials without our prior written consent.
8. Feedback
If you provide us with suggestions, feedback, ideas, or recommendations about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose, including improving the Service and developing new features, without any obligation to compensate you.
9. Pricing and Payment
Goby may offer free and paid subscription tiers. Pricing, features, and payment terms for paid plans will be presented to you before purchase and are subject to change with reasonable notice.
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable unless required by law or as described in a separate refund policy
- Failure to pay may result in suspension of your account
- We reserve the right to change pricing with at least 30 days' notice to existing subscribers
10. Availability and Modifications
We aim to maintain high availability of the Service but do not guarantee that it will be uninterrupted, error-free, or available at any particular time. We may perform scheduled or emergency maintenance that temporarily affects availability.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. For significant changes or discontinuation of core features, we will provide reasonable advance notice where practicable.
11. Third-Party Services and Integrations
The Service may integrate with or link to third-party services. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the practices, content, or reliability of third-party services.

13. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Goby disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses. We do not warrant that any information provided through the service is accurate, complete, or reliable.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Goby and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to your use of or inability to use the service, even if advised of the possibility of such damages.
Our total aggregate liability for any claims arising under or related to these terms or the service shall not exceed the greater of (a) the total fees paid by you to Goby in the twelve months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Goby and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
16. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law provisions.
Before initiating formal legal action, you agree to contact us at legal@goby.app and attempt to resolve the dispute informally for at least 30 days.
Any unresolved disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm. Class action lawsuits and class-wide arbitration are waived to the fullest extent permitted by law.
